1 Packaging

1.1 All Asda Branded Suppliers shall provide details ofthe packaging which is used in connection with the Goods on Asda’s packagingspecification system Your Packaging Partner (YPP). The details shall besubmitted to Asda on YPP and shall include the specifications for all packagingtypes including primary, secondary and tertiary packaging and the pack unitcost together with such other information which Asda may request from time totime.

1.2 ASDA Branded Suppliers should not hold more than 12weeks of packaging stock at any time unless otherwise agreed in writing byASDA. Asda shall not be liable for any loss incurred by any Asda BrandedSupplier as a result of the Supplier holding excess packaging for Asda BrandedGoods.

2 Pricing

2.1 The price agreed between ASDA and the Supplier forthe Goods is a fixed price and is fully inclusive of all costs (other thanVAT), including without limitation costs of delivery, transport, loading,un-loading, packing and insurance, and, where applicable, customs duties orimport charges or taxes.

2.2 The price payable is exclusive of VAT and VAT willbe payable in addition where properly due. In the event that ASDA pays VAT tothe Supplier and subsequently it is apparent or determined, either by writtenconfirmation from HMRC or by a change in published practice or by virtue of adecision of any court or tribunal, that no VAT or a lower rate of VAT was infact correctly due to the Supplier in respect of any Goods, the Supplier shallupon receipt of a request from ASDA repay to ASDA any VAT overpaid by ASDA tothe Supplier.
