摘 要：跨国并购正成为***汽车产业技术学习的重要选择途径。从技术学习的视角，对上汽、南汽并购罗孚和上汽并购双龙的案例进行分析，解析***汽车产业跨国并购技术学习的问题与启示。存在的问题：（1）跨***、跨文化的组织整合存在困难；（2）缺乏对技术的消化吸收能力。启示：做好并购前的充分调研；（2）选择适当的技术转移方式；（3）重视文化差异，构建组织间良好关系；（4）加快并购后整合及对技术的吸收消化；（5）展现自主性，积极灵活运用多种技术学习方式。研究认为要提高跨国并购的成功率，必须从文化因素入手，培养跨文化的整合人才,以加强对不同企业文化的反应、适应能力及对文化冲突的处理和跨文化的沟通能力，以促进组织间良好稳定的关系；另外着手加大对本国企业技术人员的培训、教育投入以增加企业自身的技术水平培育组织吸纳能力，建立相对科学合理的管理和激励机制，以激发员工的积极性、主动性和创造性，使企业各阶层人员全心投入，成为不断学习型的组织。
